These Terms of Service ("Terms") govern your use of the Trinity platform and related services (the "Service"), provided by [Trinity CEO LLC, a Delaware limited liability company — confirm after registration] ("Trinity", "we", "us"). By creating an account or using the Service, you agree to these Terms.
Trinity is a financial management platform for U.S. contractor businesses. It connects to your bank accounts, organizes your transactions, and produces reports such as a Profit & Loss statement, Cash Flow Statement and Balance Sheet, along with job costing and related management tools.
Trinity is not a CPA firm, accounting firm, tax advisor or law firm. We do not file tax returns or provide tax, legal or investment advice. Figures in the Service, including tax estimates, are for planning purposes only. Please consult your own CPA or tax professional before making tax or financial decisions.
Features described as "in development" or "coming soon" may change or be delayed, and are not guaranteed.
Trinity prepares organized financial data, reports and tax estimates. You and your CPA or tax professional remain solely responsible for your tax returns, filings, elections (including any S corporation election) and payments, and for the final figures used in them. Before relying on any figure from the Service, you should have it reviewed by your CPA.
Our reports and estimates depend on the information you provide, including your legal form, tax classification and its effective date, state, filing status, spouse's income where applicable, and prior-year tax. You agree to provide complete and accurate information, to update it when it changes, and to review the categorizations and questions we send you. Estimates may be incomplete or inaccurate if this information is missing or wrong; the Service will flag cases it does not support.
You must be at least 18 years old and authorized to act on behalf of the business you register. The Service is intended for business use only.
The Service is currently available only to U.S. businesses that have one legal owner: sole proprietorships, single-member limited liability companies, and S corporations with a single shareholder. Businesses with two or more owners, including partnerships, multi-member limited liability companies, and S corporations with more than one shareholder, are not eligible at this time. The business may have employees and contractors. If the ownership of your business changes so that it has more than one owner, you agree to notify us promptly, and we may suspend or end the Service under Section 13.
You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly at system@trinity.ceo if you suspect unauthorized access.
The Service is offered on paid subscription plans, billed monthly or annually as selected at purchase. Current plans and prices are shown on our website. Payments are processed by Stripe; we do not store your card details. Subscriptions renew automatically until cancelled. You may cancel at any time, and cancellation takes effect at the end of the current billing period.
Refunds: Monthly plans are not refundable, including for the current billing month; if you cancel, you keep access until the end of that month. Annual plans may be cancelled for a full refund within 30 days of the initial purchase. After 30 days, annual plans are not refundable, and you keep access until the end of the paid year.
We may change prices with advance notice of [30 days — confirm]. Changes apply from your next billing period.
Onboarding and setup are included in every plan. After you connect your accounts, we typically import and categorize your transactions within one business day. Reviewing and cleaning up prior-year history may take longer, depending on its volume and how quickly you answer our questions.
To import your transactions, you authorize us and our third-party data providers (currently Fintable; we may also use Plaid) to access your financial account data on a read-only basis. These providers process data under their own terms and privacy policies. Trinity cannot move money, make payments or transfer funds from your accounts. You can revoke access at any time through your bank or by contacting us.
You own the data you provide or connect to the Service ("Your Data"). You grant us a limited license to process Your Data solely to provide and improve the Service. We do not sell Your Data. How we handle personal information is described in our Privacy Policy.
After you cancel, you may request an export of Your Data for [30 days — confirm]. After that period we may delete it.
You agree not to: use the Service for unlawful purposes; provide false or misleading information; attempt to gain unauthorized access to the Service or other users' data; interfere with or disrupt the Service; reverse engineer it; or resell it without our written permission.
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that reports are complete or accurate, which depends in part on the data from your banks and the information you provide.
To the fullest extent permitted by law, Trinity will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the [three (3) — confirm] months before the claim arose.
You agree to indemnify and hold Trinity harmless from claims arising from your breach of these Terms, your misuse of the Service, or Your Data.
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if required by law. Sections that by their nature should survive termination will survive.
These Terms are governed by the laws of [Delaware — confirm after registration], without regard to conflict-of-law rules. Disputes will be resolved in the courts located in [State / county], unless we agree otherwise in writing.
We may update these Terms from time to time. For material changes we will give at least 14 days' notice by email or in the Service. Continued use after the effective date means you accept the updated Terms.
